Fees for Services will be set forth in each service agreement or proposal. Unless otherwise specified, all fees are due within thirty (30) days of invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. The Company reserves the right to suspend Services for overdue accounts.
Both parties agree to hold in confidence all non-public information disclosed during the course of an engagement. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement for a period of three (3) years.
To the maximum extent permitted by applicable law, the Company's total liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

Either party may terminate a service engagement in accordance with the terms set forth in the applicable service agreement.
